EC clears Manitowoc for Enodis takeover

The European Commission has given antitrust clearance for Manitowoc's acquisition of food industry equipment company Enodis.

To secure the clearance Manitowoc agreed to sell Enodis' global ice machine operations following completion of the transaction. Manitowoc also agreed to sell non-ice businesses of Enodis in Italy.

The acquisition of Enodis remains conditional on, among other things, U.S. antitrust approval, anticipated by 11 October 2008. Manitowoc expects that the last day of dealings in Enodis shares will be 24 October 2008 and the listing of Enodis Shares will be cancelled at 8.00 a.m. on 27 October 2008. If antitrust clearances are obtained earlier the dates may be brought forward.
